Platform Terms of Use
These Terms of Use govern Your access to and use of the Platform.
Any use of, or access to the Platform by You constitutes Your acceptance of these Terms of Use and the Privacy Policy without qualification. If You do not agree to be bound by these Terms of Use, please do not access and use the Platform or continue to use the Platform.
Definitions
In these Terms of Use:
“Platform” means the PLC website and any other digital sites owned and operated by PLC, to which these Terms of Use are linked.
“PLC” means Project Life Changer;
“Privacy Policy” means PLC’s privacy policy that is linked to the Platform;
“Terms of Use” means these terms of use;
“You” or “Your” means anyone who visits or uses the Platform.
Variation
PLC may change these Terms of Use at any time by changing or removing existing terms or adding new ones. Changes may take the form of a completely new set of Terms of Use. PLC will advise any changes by posting an update of the Terms of Use on the Platform. Any change PLC makes applies from the date PLC posts it on the Platform. By using the Platform, after the publication of any amended Terms of Use, You are agreeing to be bound by such amended Terms of Use.
Purpose of Platform
The Platform allows members of the Platform (each a “Member”) to list their own site on the Platform for the purpose of general users of the Platform identifying Members and, at the election of such users, making direct contact with Members.
PLC makes no representations that the Platform is appropriate for any other purposes and does not accept any responsibility if the Platform or information obtained from the Platform is used for other purposes.
You agree not to use the Platform for any purpose that is unlawful or to engage in any conduct that may impair or cause damage to the operation of the Platform whether by way of a virus, corrupted file or through any other means. You agree that You will not hack into the Platform nor employ any robot, spider or other device or process to use the Platform for any unauthorised purposes.
Violation
If You violate these Terms of Use, without limiting any other remedies available to PLC, PLC may without notice to You:
Prohibit You from using the Platform; and
If required by law, disclose information about You and Your use of the Platform for the investigation of any unlawful or harmful activity.
Intellectual Property
Unless otherwise stated, copyright and all other intellectual property rights in all material published on the Platform is owned or controlled by PLC (or its licensors). You cannot use or reproduce these without PLC’s express prior written permission in each case.
You agree that without PLC’s express written permission, the materials displayed on the Platform may not be used, copied, reproduced, published, altered, transmitted in any form or by any means in whole or in part (except where by law such use cannot be prohibited).
Nothing on the Platform should be construed as granting any license or right of use of any trade mark displayed on the Platform without PLC express written permission.
You acknowledge and agree that neither these Terms of Use nor your use of the Platform convey or grant to you any right to:
Create any materials that incorporate the Platform or any derivatives of the Platform;
Take any action that would jeopardise or impair PLC’s rights as owner of the Platform or the legality and/or enforceability of the Platform;
To use or reference in any manner the Platform.
Privacy
The Privacy Policy is incorporated into these Terms of Use.
Links and Search Results
The Platform may reference or provide links to third party sites. PLC has no control over these sites or the content within them. PLC does not endorse the content of any third-party site (unless specifically stated otherwise), nor does it warrant that they will not contain viruses or otherwise impact Your computer. You acknowledge and accept that PLC will not be liable for any damages or loss arising in any way out of or in connection with or incidental to any information or service provided by any third party.
Liability and Disclaimer
The information contained on the Platform is necessarily generalised.
PLC, including its directors, affiliates, officers, employees, agents, contractors, successors and assigns, does not accept any liability in relation to the use, delay or inability to use, performance of, or information contained on, the Platform.
PLC does not warrant, guarantee or make any representations regarding the security of the Platform, or that the Platform is free from destructive materials, including but not limited to computer viruses, hackers, spyware, adware or other technical sabotage, nor does PLC warrant, guarantee or make any representations that the Platform will be fully accessible at all times, uninterrupted or error free. You acknowledge that the Platform may also be unavailable from time to time to permit maintenance to be undertaken.
To the full extent permitted by law, PLC shall not be liable in contract, tort, or otherwise for any direct or indirect damage, economic loss, or consequential or other loss whatsoever in respect of or arising out of use of the Platform, the Platform’s availability, infringement of any intellectual property or any act or omission of PLC.
PLC is not the agent of any Members and is not involved, on behalf of any Member or You, in any dealings resulting from the access and/or use of the Platform. PLC is not party to any agreement between You and any Members and has no responsibility or liability to You or Members in relation to engagements between You and Members. You are solely responsible for any risks associated with your dealings with Members and You must communicate and deal with Members directly. You expressly understand and agree that:
Any engagement with Members as a result of accessing and/or using the Platform is at Your own risk and judgment;
When dealing with Members, You should ensure that you use common sense and caution;
PLC gives no undertakings, representations or warranties in relation to (without limitation) the qualifications, suitability, safety or ability of Members that You may engage with as a result of access and/or using the Platform. It is your responsibility to determine if a Member will meet your needs and expectations;
PLC makes no representation, warranty, or guarantee regarding the reliability, timeliness, quality, suitability or availability of the Platform and Members;
PLC is not party to the provision of any direct engagement between You and any Members. Unless requested by PLC, You agree not to involve, or attempt to involve, PLC in any dispute or in the resolution of disputes that arise between You and any Members.
General Provisions
If any part of these Terms of Use is held to be unenforceable, the unenforceable part must be given effect to the greatest extent possible and the remainder will remain in full force and effect. These Terms of Use and the Privacy Policy are governed by the laws of New Zealand. You irrevocably submit to the non-exclusive jurisdiction of the courts of New Zealand.
